These Terms of Service ("Terms") govern your use of HelixCast ("Service"), an AI-powered content repurposing platform operated by HelixCast ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. Description of the Service

HelixCast helps you transform source content (text or audio) into platform-adapted posts for social media and other channels. The Service uses artificial intelligence (including OpenAI's models) to generate, adapt, and format content based on your inputs and preferences.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account and Registration

• You must provide accurate, complete registration information and keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity under your account.
• We may suspend or terminate your account if you breach these Terms or for other reasons as permitted by law.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of applicable laws.
• Upload, generate, or distribute content that is defamatory, harassing, hateful, obscene, or that infringes intellectual property or other rights of others.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Use the Service to generate spam, malware, or content intended to deceive or harm others.
• Resell, sublicense, or commercially exploit the Service beyond your permitted use under your subscription plan.
• Reverse engineer, decompile, or attempt to extract the source code of the Service (except as permitted by law).
• Use automated means (e.g., bots, scrapers) to access the Service without our prior written consent.

We reserve the right to remove content, suspend accounts, or take other action we deem necessary to enforce these Terms and protect the Service and its users.

5. AI-Generated Content

Important: Content generated by the Service is produced by artificial intelligence and may contain errors, inaccuracies, or unintended outputs. You are solely responsible for:

• Reviewing all generated content before use or publication.
• Ensuring that generated content is accurate, appropriate, and compliant with applicable laws and platform policies.
• Verifying that generated content does not infringe third-party rights or contain personal data of others without consent.

We do not guarantee the accuracy, quality, or suitability of AI-generated content for any particular purpose. You use generated content at your own risk. We recommend removing or redacting personal data (e.g., email, phone, address) from source content before generation, as the Service may include such data in outputs.

6. Your Content and Intellectual Property

• You retain ownership of the content you upload and the outputs you create using the Service.
• By using the Service, you grant us a limited license to process, store, and transmit your content as necessary to provide the Service (e.g., sending content to OpenAI for generation, storing projects and outputs).
• We do not use your content to train our own AI models. OpenAI may use content sent to their API in accordance with their Usage Policies and your agreement with OpenAI.

7. Subscription and Payment

• Subscription plans, pricing, and features are described on our website and may change with notice.
• Payment is processed by Stripe. You agree to Stripe's terms and provide accurate billing information.
• Subscriptions renew automatically unless cancelled before the renewal date. You may cancel through your account settings or Stripe's customer portal.
• Refunds are handled in accordance with our refund policy and applicable law. Contact us for refund requests.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities.
• Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred US dollars ($100), whichever is greater.
• Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by law.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your breach of these Terms.

10. Termination

• You may close your account at any time through account settings or by contacting us.
• We may suspend or terminate your access to the Service for breach of these Terms, non-payment, or other reasons as permitted by law.
• Upon termination, your right to use the Service ceases. We may retain your data as required by law or our data retention policy.

11. Changes to the Terms

We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction. You waive any right to participate in a class action.
